Code of Conduct

1. Purpose

This Code of Conduct sets out the principles and standards of professional behaviour expected of all directors, officers, and employees of Cornwill Realty Corp. It reflects our commitment to conducting business with the highest ethical standards, in compliance with all applicable laws and regulations.

2. Core Principles

• Integrity: We act honestly and ethically in all business dealings. We do not misrepresent facts, manipulate information, or take unfair advantage of anyone.
• Fairness: We deal fairly with customers, suppliers, competitors, and colleagues. We do not take unfair advantage through manipulation, concealment, or misrepresentation.
• Respect: We treat all individuals with dignity, courtesy, and respect. We do not tolerate discrimination, harassment, or bullying of any kind.
• Compliance: We comply with all applicable laws, rules, and regulations in every jurisdiction where we operate.
• Accountability: We take responsibility for our actions and decisions. We report violations promptly and cooperate with investigations.

3. Conflicts of Interest

Employees must avoid situations where their personal interests conflict, or appear to conflict, with the interests of the Company. Any actual or potential conflict of interest must be disclosed to the Compliance Officer.

4. Confidentiality

Confidential information of the Company, its clients, and business partners must be protected. This obligation continues even after the employment relationship ends.

5. Company Assets

Company assets must be used for legitimate business purposes only. This includes physical assets, intellectual property, proprietary information, and technology resources.

6. Enforcement

Violations of this Code may result in disciplinary action, up to and including termination of employment. The Company encourages all persons to report suspected violations through the Whistle Blower mechanism.

Applicable to all directors, officers, and employees of Cornwill Realty Corp. and K. P. Group entities.
